In short
The usual company is the sp. z o.o. (limited liability company): PLN 5,000 minimum capital, registered online through S24 for PLN 350 in court and publication fees — often in about 3 working days, without a notary — or by notarial deed for custom articles (PLN 600 in fees plus the notary). A PSA needs only PLN 1 of capital. Corporate tax is 19%, or 9% for small taxpayers with revenue up to €2 million; Estonian CIT taxes only distributed profit at 10% or 20% but requires individual shareholders. Dividends to US shareholders carry 15% withholding (5% for a US company with 10%+). VAT is 23%, with an exemption up to PLN 240,000 from 2026, and KSeF e-invoicing is mandatory from April 2026. Beneficial owners go to the CRBR within 14 days. US owners usually file Form 5471; a sp. z o.o. can elect to be disregarded, an S.A. cannot.

Not American?
Canadians, Australians, Brits and other non-EU citizens: the same rules apply
Polish company law is the same for every foreign founder. A few points differ for Americans:
- Canada
- Australia
- New Zealand
- United Kingdom
- Japan
- South Korea
- + other visa-free countries
| Sole proprietorship | US citizens can register one like Poles under the 1990 treaty; most other non-EU citizens need a permit first. |
|---|---|
| Living in Poland | A company does not give you residence by itself — you need a residence permit for business, which has an income or hiring test. |
| Tax treaty | The 1974 US–Poland treaty cuts dividend withholding from 19% to 15%, or 5% for US companies with 10%+. |
| Documents from abroad | Need an apostille; the US, Canada (since 11 Jan 2024), the UK, Australia and NZ issue them. Add sworn Polish translations.Source: HCCH: Apostille Convention status table |

Why Poland
Why Americans Register Companies in Poland
Poland offers fast online registration, a 9% rate for small companies, a 5% IP Box and lump-sum taxes for freelancers, plus a large, lower-cost workforce inside the EU. A US–Poland treaty lets Americans run a sole proprietorship like Poles.
The trade-offs: paperwork in Polish, mandatory e-invoicing since 2026, monthly VAT and accounting files, and residence permits that can take a year in the big cities.

Expert Notes
What Americans Should Know Before Registering in Poland
Watch the 9% rate and NCTI
A Polish company taxed at 9% falls below the US high-tax threshold — get US advice before choosing.
Estonian CIT is not for LLC-owned companies
It needs individual shareholders, so holding through a US LLC rules it out.
Budget for accounting
Full accounting, monthly VAT files and KSeF mean you need a Polish accounting office.
A company does not give you residence
The residence permit for business needs an income or hiring test — or use the treaty sole proprietorship plus a permit.
Registering a Polish company is right for you if…
- You want a low-cost EU company with fast online registration.
- You can work with a Polish accounting office.
- You have US tax advice on Form 5471, NCTI and check-the-box.
- You have a residence plan if you will live in Poland.
We work with Polish lawyers, notaries and accounting offices who set up companies for American founders and coordinate with US tax advisers.
