Czech Business Formation

Register a Company in Czechia Central Europe's Business Hub

Czechia sits in the heart of Europe — bordering Germany, Austria, Slovakia and Poland — with a highly educated workforce, strong manufacturing and tech sectors, deep links to German supply chains and full EU single-market access.

In short

The usual structure is the s.r.o. (limited liability company). Minimum capital is CZK 1 per shareholder, but the memorandum or founder's deed must be a notarial deed. A notary can register the company directly — free of court fees for a simple s.r.o. with cash contributions — or the registry court decides within 5 working days (fee CZK 6,000). Non-residents can be shareholders and executives. Corporate tax is 21%, VAT 21% with registration above CZK 2,000,000 turnover a year, and dividend withholding to US shareholders is 5% or 15% under the treaty. From 2026 only medium and large companies need an audit.

Why Czechia

Why Americans Register Companies in Czechia

Czechia's economy is closely tied to Germany, the EU's largest market, through decades of manufacturing and supply-chain links. Prague and Brno have growing tech and startup scenes, with accelerators, investors and international talent.

For American entrepreneurs, Czechia offers full EU single-market access with operating costs below Germany or Austria. It is in the EU but not the eurozone, so the koruna brings some currency risk for businesses that earn in euros.

Tax Environment

Czechia's Corporate Tax Framework (2026)

Czech companies pay a flat 21% corporate income tax on profits (19% for periods before 2024). Czechia has a wide network of tax treaties, including one with the United States signed in 1993.

21%Corporate income tax on the taxable profit of Czech-resident companies
21%Standard VAT (12% reduced) — registration above CZK 2,000,000 turnover in a calendar year
5% / 15%Dividend withholding to US shareholders under the treaty (15% by domestic law, 35% to non-treaty countries)
Currency and treaties

Czechia uses the koruna (CZK), so euro revenues and costs need conversion. Under the US–Czech treaty, dividends to a US company holding at least 10% of the votes are taxed at 5%, and at 15% otherwise. Companies register with the Financial Administration after incorporation.

US citizens & Green Card holdersUS tax obligations for Czech company owners

US citizens and Green Card holders are taxed on worldwide income. Owning a Czech s.r.o. usually means Form 5471 and an FBAR if your foreign accounts exceed $10,000 in total. From tax years starting in 2026, GILTI has been renamed net CFC tested income (NCTI). Czechia's 21% rate is above the 18.9% high-tax threshold, so the high-tax exclusion is often available — but the effective rate decides. The treaty's saving clause lets the US tax its citizens as if the treaty did not exist. Consult a US international tax adviser before incorporating.

Step-by-Step Process

How to Register a Company in Czechia

Registering an s.r.o. means a notarial deed, entry in the Commercial Register, and then tax (and, where needed, trade licence) formalities. The registration application must be filed within 6 months of founding.

  1. Choose your structure and activities Decision

For most foreign founders the s.r.o. is the right choice. Check whether your activities are free trades or regulated trades that need proof of qualifications.

  2. Check the company name ~1 day

The name must be distinct in the Commercial Register (obchodní rejstřík) and include "s.r.o." or "spol. s r.o.". Check it in the public register — there is no separate reservation step.

  3. Sign the notarial deed Notary

The memorandum (společenská smlouva) or, for a single founder, the founder's deed (zakladatelská listina) must be a notarial deed, signed before a Czech notary in Czech. If you don't speak Czech you need an interpreter; foreign documents need an apostille and certified translation. A power of attorney is possible.

  4. Pay in the capital Banking

Pay the contributions to the account administrator (a bank) or the notary before registration. The legal minimum is CZK 1 per shareholder; many founders choose more for banking and credibility.

  5. Register in the Commercial Register 5 working days

The notary can register the company directly — no court fee for a simple s.r.o. with cash contributions, CZK 2,700 otherwise. Alternatively you file at the regional registry court (CZK 6,000), which must decide within 5 working days. The company then gets its ID number (IČO).

  6. Obtain the trade licence Trade licence

Most business activities need a trade licence. For a company, it is usually arranged with registration; the fee is CZK 1,000.

  7. Register for tax Post-registration

Register with the Financial Administration (Finanční správa) for corporate income tax, and for VAT once turnover exceeds CZK 2,000,000 in a calendar year — immediately if it exceeds CZK 2,536,500. Voluntary VAT registration is possible.

  8. Register as an employer (if hiring) If hiring

Register with social security (ČSSZ) and the employee's health insurer before the first employee starts. Contracts follow the Czech Labour Code.

Ongoing Obligations

Post-Registration Requirements

  • Annual accounts and tax return

Companies keep double-entry accounts, file a corporate tax return and publish their financial statements in the Commercial Register. Tax returns are due 1 April on paper, 1 May electronically, or 1 July with a tax adviser.

  • Executive (jednatel)

An s.r.o. needs at least one executive, entered in the Commercial Register. The executive can be a foreign national and need not live in Czechia, and must act with due care.

  • Audit

From 2026 only medium and large companies need a statutory audit. A small company stays within at least two of these limits — total assets CZK 120 million, turnover CZK 240 million, 50 employees.

  • Beneficial ownership register

Companies must record their beneficial owners in the register and keep the data current without undue delay. Owning more than 25% is presumed to give control.

Expert Notes

What Americans Should Know Before Registering in Czechia

  • Plan for the notary

Unlike some EU countries, you cannot form an s.r.o. online without a notary. Signing in person (or through a power of attorney) with an interpreter is normal — build it into your timeline.

  • CZK 1 capital is legal — but consider more

Czech law allows CZK 1 per shareholder. Banks and partners may expect more, so discuss a sensible amount with your adviser.

  • Check your trade category

Free trades need only notification; regulated trades need proof of qualification or experience. Operating without the right licence is an offence.

  • The koruna is not the euro

Taxes and filings are in CZK. If you invoice in euros, build currency conversion into your financial model.

  • The high-tax exclusion is often available

At 21% Czech corporate tax is above the 18.9% threshold, so the NCTI high-tax exclusion can often remove the extra US layer on undistributed profits — confirm the effective rate with your US adviser.

A Czech company is right for you if…

  • You want a Central European EU base with close links to the German market and lower operating costs than Germany or Austria.
  • You want a low capital requirement and don't mind the notarial formalities.
  • You plan to hire or contract Czech technical talent.
  • Your structure can benefit from the 21% rate being above the US high-tax threshold.
  • You are comfortable operating in a non-euro currency.
